These Terms & Conditions ("Terms") govern your use of the H3 Consulting Partners LLC website and any services we provide. By accessing our site or engaging our services, you agree to these Terms.

1) Services

We provide IT strategy, virtual CIO (vCIO), cloud, support, and custom development services to small and mid-sized businesses. Scope, deliverables, pricing, and timelines are defined in proposals, statements of work, or a master services agreement (MSA). In case of conflict, the signed MSA or SOW controls.

2) No Warranties

Except as expressly stated in a signed agreement, services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

3) Client Responsibilities

• Provide accurate information, reasonable access, and timely decisions.
• Retain ownership and responsibility for your systems, accounts, data, and security configurations unless otherwise agreed in writing.
• Maintain appropriate backups and disaster recovery plans.

4) Fees & Payment

Fees are as quoted and may be time-and-materials, fixed-fee, or retainer. Unless otherwise stated, invoices are due net 15 days. Late balances may incur a service charge or pause of services.

5) Confidentiality

Each party may have access to the other's confidential information. Both parties agree to use such information solely to perform under the agreement and to protect it from unauthorized disclosure. These obligations continue for three (3) years after disclosure, or longer where required by law or contract.

6) Intellectual Property

Pre-existing IP of each party remains that party's property. Unless otherwise agreed, deliverables specifically created for a client are assigned or licensed per the applicable SOW or MSA. H3 Consulting retains rights to reusable know-how, templates, and tools that do not reveal client confidential information.

7) Limitation of Liability

To the fullest extent permitted by law, H3 Consulting will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business interruption. Our aggregate liability arising out of or relating to services is limited to the amounts paid for the applicable services in the six (6) months preceding the claim.

8) Third-Party Services

We may recommend or help manage third‑party products or cloud services owned by you. Those services are governed by their own terms. You are responsible for licenses, costs, and compliance.

9) Acceptable Use of the Website

You agree not to misuse the website, attempt to interfere with its operation, or use it to transmit harmful or unlawful content.

10) Termination

Either party may terminate an engagement as specified in the applicable SOW or MSA. Website access may be suspended or terminated at any time for misuse.

11) Governing Law; Venue

These Terms are governed by the laws of the State of Texas, without regard to conflict of laws principles. Exclusive venue and jurisdiction lie in the state and federal courts located in Texas.

12) Changes to the Terms

We may update these Terms from time to time. Continued use of the website after changes constitutes acceptance of the updated Terms.
